Penalties:

Dissolution or revocation on January 1. There is a fee for reinstatement.

Notes:
  • Anyone with authority may file.
  • Original signatures are not required.
  • You cannot change your registered agent or principle address on the annual report. You will have to attach an ammendment to your annual report with a $50 fee.

Assumed Name

Certificate of Assumed Name Registration

Filing Method:

Mail or online.

Agency Fee:

$30 for mailed filing or $50 for online or expedited filings.

Is registration mandatory?:

Filing an assumed name registration is required for any person or entity intending to conduct business under an assumed name.

Law:

MN Statutes § 333.02

County Level Filing:

Filing is not required at the county level.

Does registration prevent others from using the name I choose?:

Registration of an assumed name does not offer name protection.

Notes:
  • Changes to business information must be reported within 60 days after the change occurs.
  • After filing, you must publish the certificate of assumed name in two consecutive issues of the legal notices section of a qualified legal newspaper in the county of the principal place of business.
