Required annual filings

The steps below apply to nonprofits that are both incorporated and foreign qualified in Indiana. Please note that this is a general list and may not be exhaustive or applicable to all nonprofits.

Instructions:

See Form 990 Thresholds to determine which form to file.  Then see Current Form 990 Series for instructions.

Due:

By the 15th day of the 5th month following the end of the taxable year.  For most organizations, the tax year ends December 31 so the Form 990 is due May 15.

2 File Indiana Corporate Tax Exemption Renewals

Due:

Annually by the 15th day of the 5th month of your fiscal year end.

3 File Indiana Sales Tax Exemption Renewals

NP-20A: Nonprofit Application for Sales Tax Exemption

Due:

Annually within 4.5 months of the fiscal year end.

4 File Indiana Annual Report
Agency:Indiana Secretary of State - Business Services Division
Form:

Indiana Business Entity Report

Filing Method:

Mail or online. (Mailing the form also requires use of the online system however.)

Agency Fee:

$20 for mail or $22 for online.

Due:

Biennially by the end of the registration anniversary month. So if you incorporated or foreign-qualified on March 15, then your annual report is due every two years by March 31.

Notes:
  • The first annual report must be delivered to the secretary of state in the year following the year in which a domestic corporation was incorporated or a foreign corporation was authorized to transact business.
5Maintain a Indiana Registered Agent

Maintain a registered agent that has a street address in Indiana. The registered agent is responsible for receiving legal documents such as service of process. Appointing a registered agent service is often preferable to listing an officer or director, as their information often changes.
