Top 5 Tips on Registering a Business in Kentucky

  1. The Kentucky Secretary of State will respond to your formation request by mailing a file stamped postcard to the principal office address.
  2. A corporate designator is required as part of your LLC or corporate business name.
  3. The fee to incorporate can be confusing. If the corporation will issue $1,000 authorized shares or less, then the state filing fee is $50. So if you issue 100 shares of stock with an initial par value of $5 per share, then the authorized shares are $500 and your filing fee will be $50.
  4. You must register with the Kentucky Department of Revenue within 30 days of formation for applicable tax accounts.
  5. Corporations and LLCs must file an annual report. The reminder postcard is mailed to the principal office address of the business. In most states, the reminder is mailed to your registered agent.
