Registration requirements for Rhode Island business entities

Business entities that plan to use a name other than their legal business name may need to register an assumed name. Assumed name registration can take place at the state, local, or state and local levels of government. State specific registration information is available below.

$20 for nonprofits and $50 for business corporations, LLCs, and limited partnerships.

Is registration mandatory?:

Filing a fictitious name registration is required for most business entity types, and some entities may need to file at both the state and county level.

County Level Filing:

Filing is not required at the county level, however, businesses may need to file an assumed name registration in the city of principal business activity.

Does registration prevent others from using the name I choose?:

Registration of an assumed name does not offer name protection by itself, however, names must be distinguishable from other names on record with the department.
