Reinstatement is the process of restoring a delinquent entity back to good standing. Depending on the cause of delinquency, several steps may be required to reinstate your entity.

Reinstating a corporation in Arizona requires filing a reinstatement application with the Arizona Corporation Commission - Corporations Division and may require payment of penalty fees.

Reinstating an Arizona LLC requires filing a different form with the Arizona Corporation Commission (ACC) depending on the circumstances of dissolution. If the LLC was dissolved for failure to maintain a registered agent, or failure to maintain an address to which mail can be delivered, the entity must file Statement of Change of Address of Known Place of Business or Statutory Agent (Form L020). If the ACC has dissolved the LLC because its life has expired, the entity will file Articles of Amendment (L015). If the LLC was dissolved for failure to publish notice of organization, you must publish this notice, which allows the entity is reinstated. Arizona LLCs can only be reinstated within six years of administrative dissolution. After six years, the state requires a new entity be formed.

What is "Tax Clearance"?

Many states require you to obtain “tax clearance” or “tax good standing” before reinstating your entity. This is written evidence that your entity has cleared all overdue or past taxes with the state’s tax authority, often the Department of Revenue or Department of Taxation. States requiring tax clearance request that the letter or certificate be submitted along with the reinstatement form. Depending on the state, obtaining tax clearance can take weeks or months.
