Registration requirements for Minnesota business entities

Business entities that plan to use a name other than their legal business name may need to register an assumed name. Assumed name registration can take place at the state, local, or state and local levels of government. State specific registration information is available below.

Filing an assumed name registration is required for any person or entity intending to conduct business under an assumed name.

MN Statutes § 333.02

County Level Filing:

Filing is not required at the county level.

Does registration prevent others from using the name I choose?:

Registration of an assumed name does not offer name protection.

Notes:
  • Changes to business information must be reported within 60 days after the change occurs.
  • After filing, you must publish the certificate of assumed name in two consecutive issues of the legal notices section of a qualified legal newspaper in the county of the principal place of business.

Assumed names have a preliminary term of 10 years. At the end on the term, renewals must be filed annually by December 31.
