Annual Report

Penalties:

No late fee. Your business will receive a notice that you have 60 days until it will be dissolved or revoked.

Notes:
  • Postcards should be signed by an officer, partner or member. Anyone with authority may file online.
  • Original signatures are not required.

Assumed Name

Is registration mandatory?:

Registration of an assumed name is required for most entities that plan to use a fictitious name. Sole-proprietorships that use an alternate name are required to file with the county clerk.

KRS § 365.015

County Level Filing:

Only sole-proprietorships are required to apply for assumed name registration with the county clerk. Other entities may, however, be required to file a copy of their secretary of state assumed name application with the county clerk.

Does registration prevent others from using the name I choose?:

Registration of an assumed name does not offer name protection, however, names must be distinguishable from all other names on record with the secretary of state.

Notes:
  • File an amended certificate of assumed name if your business information changes.
  • Publication of registration is not required in Kentucky.
