Eligible Entity Types:

  • Professional Corporations
  • Limited Liability Companies
  • Professional Limited Liability Companies
  • Partnerships
Ownership Requirements:

Business Corporations:

  • Officers and directors need not be licensed, but the corporation must appoint an Idaho licensed individual to be responsible for all professional activities undertaken by the firm.

Professional Corporations:

  • For Idaho PCs, each of the officers, shareholders, and directors must be licensed individuals.
  • For foreign PCs, there is no license requirement for officers and shareholders, but the firm must appoint an Idaho licensed individual to be responsible for all professional activities undertaken by the firm.

Limited Liability Companies:

  • Members need not be licensed, but the LLC must appoint an Idaho licensed individual to be responsible for all professional activities undertaken by the firm.

Professional Limited Liability Companies:

  • For Idaho PLLCs, each of the members and managers must be licensed individuals.
  • For foreign PLLCs, there is no license requirement for members and managers, but the firm must appoint an Idaho licensed individual to be responsible for all professional activities undertaken by the firm.

Partnerships:

  • Partners need not be licensed, but the partnership must appoint an Idaho licensed individual to be responsible for all professional activities undertaken by the firm.

Before you Apply:

Domestic Applicants:

  • Identify an Idaho licensed individual to act as the professional in charge of the firm's engineering and/or surveying activities in Idaho.
  • Ensure that your business entity will meet ownership requirements.

Foreign Applicants:

  • Obtain a certificate of good standing from your entity's home state showing that your entity is actively registered to file with your foreign qualification application (certificates cannot be more than 90 days old at the time of filing).
  • Ensure that your Idaho entity will meet ownership requirements.
  • Identify an Idaho licensed individual to act as the professional in charge of the firm's engineering and/or surveying activities in Idaho.
How to Apply:

Domestic Applicants:

  1. If the name of the entity will contain some form of the word "engineer" or "land surveyor", first obtain a letter of name approval from the Board of Professional Engineers and Professional Land Surveyors (IPELS).
  2. File entity formation documents online with the Idaho Secretary of State.
  3. Create an account on the Board of Professional Engineers and Professional Land Surveyors website and submit a Certificate of Authorization Application.

Foreign Applicants:

  1. Determine whether or not your entity will need to foreign qualify in Idaho. If not required, skip to number 4.
  2. If the name of the entity will contain some form of the word "engineer" or "land surveyor", first obtain a letter of name approval from the Board of Professional Engineers and Professional Land Surveyors (IPELS).
  3. File foreign qualification documents online with the Idaho Secretary of State.
  4. Create an account on the Board of Professional Engineers and Professional Land Surveyors website and submit a Certificate of Authorization Application.
